1. Purpose
These Terms of Sale ("CGV") govern paid services marketed as part of Executive Cybersecurity Week when sold by Cobadisec, unless a quotation, contract or purchase order designates another entity or contains specific terms.
They cover, in particular:
- the ECW ISO/IEC 27001 Lead Implementer Executive Experience;
- certain additional services, tickets or offerings when marketed;
- partnerships / sponsorships insofar as the Partnership Agreement does not depart from these terms;
- any other paid ECW offer expressly subject to these Terms of Sale.
2. Seller / service provider
The seller is the entity identified in the offer, quotation, contract or invoice.
For sales in Senegal where Cobadisec is designated:
Cobadisec, a company governed by Senegalese law, Dakar, Senegal, identified in the Legal Notice.
3. Contractual documents
Depending on the offer, the contract includes:
- the order summary or quotation;
- the signed order / agreement;
- these Terms of Sale;
- the Training, Participation or Partnership Terms;
- the Terms of Use for digital services;
- any expressly incorporated annex.
In the event of a conflict, a specific signed document prevails for its subject matter.
4. Pre-contractual information
Before an electronic sale is concluded, ECW makes essential information available concerning, in particular:
- the service provider's identity;
- the service's essential characteristics;
- stated prices and taxes;
- payment methods;
- the date / period and arrangements for performance;
- cancellation / withdrawal terms;
- specific terms;
- ways to correct errors before confirmation;
- the contract language;
- archiving and access arrangements where applicable.
5. Electronic ordering process
Where a service can be ordered directly online:
- the customer selects the service;
- they provide the required information;
- a summary displays the service and the applicable total price;
- the customer may correct errors before confirmation;
- they expressly accept the applicable Terms of Use, Terms of Sale and specific terms;
- they confirm their order;
- ECW sends an electronic acknowledgement / confirmation;
- the order is confirmed according to the stated payment condition.
For sponsor partnerships, the specific Partnership Agreement procedure applies: signature before payment.
6. Prices
Prices are stated in the currency of the offer and with the applicable tax indication (for example HT, meaning excluding tax, where the price is displayed exclusive of taxes).
Applicable taxes, withholding, bank charges or tax obligations are determined according to the legislation, contracting entity, customer's location and type of service.
The customer is responsible for charges billed by their own bank or payment intermediary.
7. Founding Partner Rates and codes
Where a Founding Partner rate is offered, it applies only:
- to the stated package;
- during the announced period / availability;
- with a valid ECW code where this mechanism is required;
- until signature / confirmation under the stated conditions.
A code does not constitute an acquired right until the transaction or contract is concluded. ECW may withdraw a code that is fraudulent, expired, transferred in breach of its terms or used for an ineligible package.
8. Payment
Available methods may include:
- bank transfer;
- secure card payment through a provider;
- another method expressly stated on the invoice.
8.1 Bank transfer
The customer must use the specified invoice reference. Proof of a transfer does not constitute final receipt of cleared funds.
8.2 Card
Where payment is made through a payment provider's interface, card details are entered with the provider. ECW receives the status and information necessary for reconciliation without receiving the full card number where it is not necessary.
9. Training / Executive Experience
The public price of the ECW ISO/IEC 27001 Lead Implementer Executive Experience is €2,500 excluding tax, unless otherwise offered in writing.
Full payment is required to confirm a place, unless otherwise agreed in writing.
The service is also subject to the Training Terms.
10. Partnerships / sponsorships
A sponsor does not simply complete an automatic checkout for corporate offers unless ECW expressly makes this option available.
The normal process is:
- Partnership Access Request;
- qualification;
- proposal;
- signature of the Agreement / Sponsorship Order;
- invoice;
- payment;
- activation of rights.
Specific financial arrangements are set out in the signed agreement and prevail.
11. Formation of the electronic contract
An order is definitively accepted only after the confirmation specified in the relevant journey.
ECW sends an electronic acknowledgement without unjustified delay where an order is concluded online.
For partnerships, electronic or handwritten signature of the agreement constitutes acceptance of the package; activation may be conditional on payment.
12. Archiving and evidence
Electronic contracts for an amount falling within the statutory retention obligation are archived under conditions allowing their retrieval for the required period.
The customer may request a copy of their archived contract / order through the appropriate contact channel.
Confirmations, invoices, signatures, logs and emails may constitute evidence.
13. Consumer right of withdrawal - electronic sales
Where the customer legally qualifies as a consumer and the contract is concluded electronically, they have the right of withdrawal provided by Senegalese Decree No. 2008-718 on electronic commerce, under the conditions and exceptions set out in that decree.
For a service, the reference period is seven working days from conclusion of the contract, subject to specific legal provisions.
The request may be sent on a durable medium through /contact or the channel stated in the order confirmation, identifying the relevant order and expressing an unambiguous intention to withdraw.
13.1 Early performance
Where the consumer expressly requests that performance of a service begin before the withdrawal period expires, the consequences provided by applicable regulations are presented before confirmation.
Where the statutory exception to withdrawal applies to a service whose performance began with the consumer's consent before the period ended, that exception applies under the conditions of the decree.
13.2 Refunds
Where withdrawal is validly exercised and a refund is due, ECW makes the refund within the applicable statutory period, deducting, where permitted by law, the portion of the service already actually performed at the consumer's request.
14. Professional customers
Unless otherwise required by mandatory law or agreed in writing, a customer acting for professional purposes does not benefit from the right of withdrawal reserved for consumers.
B2B orders and partnership agreements become binding under the terms of the signed quotation / agreement.
15. Customer cancellation after the withdrawal period
15.1 Training
After any applicable right of withdrawal has expired, the following rules apply unless a more favourable written offer is made:
- the customer may propose a participant replacement up to 5 working days before the start, subject to administrative / training eligibility;
- cancellation more than 30 calendar days before the start may, at ECW's reasonable discretion, result in a credit towards a future ECW service, after deduction of non-recoverable costs already incurred;
- cancellation 30 days or less before the start does not entitle the customer to a refund, unless required by mandatory law or agreed in writing;
- the participant's absence on the training day does not entitle the customer to a refund.
These provisions do not affect mandatory consumer rights.
15.2 Partnership
Sponsor cancellations are governed by the signed Partnership Agreement. In the absence of a specific provision, signature commits the Sponsor to the full agreed price, subject to ECW's obligations and any written exit agreement.
16. Cancellation, postponement or changes by ECW
ECW may change a schedule, speaker, room or organisational arrangement where justified by operational, safety, quality or force majeure reasons.
A non-substantial change does not automatically entitle the customer to a refund.
If ECW definitively cancels a paid service and provides no equivalent solution or accepted postponement, ECW refunds the portion of the price corresponding to the service not provided, subject to costs and services already performed where the law and contract allow these to be taken into account.
For a sponsor, specific rules on substitution of value and activations are set out in the Partnership Agreement.
17. Force majeure
Neither party is responsible for a breach caused by an external, unforeseeable or irresistible event / one reasonably beyond its control, including a disaster, major civil unrest, public authority decision, infrastructure closure, critical unavailability, security risk, epidemic, conflict or major weather event.
ECW may offer, in particular:
- postponement;
- a change of venue;
- a hybrid / digital format;
- a substitute activation of comparable value.
The parties cooperate in good faith to limit the consequences.
18. Customer obligations
The customer must:
- provide accurate billing information;
- pay on time;
- comply with specific terms;
- check travel / visa requirements;
- comply with participation rules;
- not resell access without authorisation;
- not misuse a code, identity or status.
19. Late payment
In the event of late payment, ECW may, after notification where necessary:
- suspend activation of rights;
- defer onboarding;
- suspend services not yet performed;
- apply interest / collection charges provided by law or the signed agreement.
Suspension does not release the customer from amounts validly owed.
20. Liability
ECW is responsible for proper performance of its contractual obligations under the conditions provided by law and the contract.
ECW does not guarantee:
- obtaining a certification;
- a participant's acceptance of a meeting;
- a number of sales / leads / contracts;
- a specific return on investment;
- a visa or transport decision;
- services provided directly by a third party under its own responsibility.
For professional customers, except in cases of gross negligence, fraud or a contrary mandatory obligation, ECW's total liability under a contract is capped at the amount excluding tax actually paid to ECW for the service directly causing the damage. This cap does not apply where the law prohibits a limitation.
21. Complaints
Any complaint must be submitted through /contact, including:
- identity / organisation;
- order or invoice reference;
- subject;
- facts;
- useful supporting documents.
ECW acknowledges receipt and attempts to resolve the matter in good faith.
22. Governing law and disputes
Where Cobadisec is the contracting entity, the contract is governed by Senegalese law, subject to applicable mandatory rules.
The parties first seek an amicable solution. For commercial disputes, they may agree to mediation under the OHADA Uniform Act on Mediation.
Failing an agreement, the competent courts of Dakar have jurisdiction where this clause is legally enforceable. Mandatory consumer rights remain reserved.
